Intellectual Property Rights

Client Ownership

Upon full payment, clients receive ownership of:

• Custom-developed code and software created specifically for the client, Only if the billing invoice is more than 1000$ USD, other wise client is just leasing out AZIONIC created code
• Original content, designs, and materials created for the project, Only if the billing invoice is more than 1000$ USD, other wise client is just leasing out AZIONIC created content
• Final deliverables as specified in the project agreement

AZIONIC Ownership

AZIONIC retains ownership of:

• Proprietary tools, frameworks, and methodologies
• FULL code libraries and templates
• General knowledge, skills, and experience
• Marketing materials and case studies

Third-Party Licenses

Clients are responsible for obtaining and maintaining licenses for:

• Third-party software, plugins, and APIs
• Stock images, fonts, and other licensed assets
• Hosting services and domain names

Confidentiality and Non-Disclosure

AZIONIC is committed to protecting client confidentiality. We will:

• Treat all client information as confidential and proprietary
• Not disclose client information to third parties without consent

• Require employees and contractors to sign confidentiality agreements

Indemnification

Termination

Termination by Client

Clients may terminate services by:

• Providing written notice as specified in the service agreement
• Paying for all services rendered up to the termination date
• Paying any early termination fees as specified in the agreement

Termination by AZIONIC

We reserve the right to terminate services if:

• Client breaches these Terms of Service
• Payment is not received as agreed
• Client engages in prohibited activities
• Continuing the relationship is not feasible

Effects of Termination

Upon termination:

• All outstanding invoices become immediately due
• AZIONIC will deliver completed work as of the termination date
• Client access to ongoing services will be suspended
• Provisions regarding confidentiality and intellectual property remain in effect

Dispute Resolution

Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation.

Mediation

If informal resolution fails, parties agree to participate in mediation before pursuing litigation or arbitration.

Governing Law and Jurisdiction
